Preamble & Master Agreement

This Master Terms of Service, Privacy Policy, and Service Level Agreement (hereinafter referred to as the "Agreement" or "Terms") constitutes a legally binding contract between BitBitWise Technologies (hereinafter referred to as "BitBitWise", "we", "us", or "our"), having its principal registered office at 4B, 4th Floor, Hari Om Mansion, Mitthu Road, Bank More, Dhanbad, Jharkhand - 826001, India, and the individual, corporate entity, school, or organization (hereinafter referred to as the "Client", "User", or "you") accessing our websites, contracting our bespoke software development services, engaging digital marketing campaigns, or subscribing to our cloud software products.

By signing a project proposal, issuing a purchase order, paying any mobilization invoice, or accessing our SaaS applications (including WiseERP, EduFlow, WiseCRM, WiseHRM, WiseAI, and WisePOS), you explicitly confirm that you have read, understood, and agreed to be bound by all terms, conditions, and statutory disclosures set forth herein.

Services & Engagement Models

BitBitWise provides enterprise IT engineering, web design, bespoke software development, digital marketing, and ready-to-deploy software products across four primary engagement models:

1.1 Custom Web Design & Bespoke Software Engineering

Bespoke responsive corporate websites, high-performance web applications, iOS and Android mobile apps, database architectures, and custom workflow automations. Scope, milestones, deliverables, and acceptance criteria are explicitly outlined in individual Quotations or Statements of Work (SOW).

1.2 Proprietary SaaS Product Subscriptions

Cloud-hosted software subscriptions for our flagship suites: WiseERP (Inventory, Stock & GST Invoicing), EduFlow (School & College Campus Management ERP), WiseCRM (Sales Pipeline & Leads), WiseHRM (Biometric Attendance & Payroll), WiseAI (Conversational AI Assistant), and WisePOS (Counter Retail Billing). SaaS access is granted under a renewable, non-exclusive license.

1.3 Digital Advertising, SEO & Brand Promotions

Strategic performance marketing campaigns across Google Search/Display, Meta (Facebook & Instagram Ads), search engine optimization (SEO), social media creative production, and lead generation funnels.

1.4 Cloud Infrastructure & Managed IT Maintenance

Cloud deployment (AWS, Google Cloud, Azure), server uptime monitoring, SSL certificate installations, automated data backup configurations, and ongoing technical maintenance packages.

Intellectual Property & Source Code Ownership

To maintain transparency and protect both parties, we clearly demarcate the ownership rights between custom deliverables and our proprietary foundational technology:

Project Milestones, Acceptance Testing & Warranty

To guarantee smooth execution and predictability, all custom engineering deliverables follow a disciplined verification workflow:

Stage 1: Handover

Staging Deployment

Upon completing milestone development, the build is deployed to a staging environment for client review and verification.

Stage 2: Verification

14-Day UAT Window

The Client is granted 14 calendar days to conduct User Acceptance Testing (UAT) and document any functional deviations in writing.

Stage 3: Sign-off

Deemed Acceptance

If no written defect logs are submitted within 14 days, or if the client deploys the code to live production, acceptance is deemed complete.

30-Day Post-Launch Bug-Fix Warranty

Every custom website and bespoke software project developed by BitBitWise includes a 30-day complimentary warranty period starting immediately upon production launch. During this window, any technical bugs, rendering discrepancies, or errors originating within the approved SOW scope are resolved expeditiously at no extra charge.

Change Requests (Scope Creep): Any additional features, structural design revisions, or third-party integrations requested outside the originally agreed quotation will be documented and billed separately under a formal Change Request (CR) estimate prior to implementation.

Commercial Terms, Invoicing & GST Compliance

All commercial transactions with BitBitWise Technologies are governed by clear payment schedules, documented invoices, and compliance with Indian tax legislation:

Standard Milestone Payment Schedule for Custom Projects

  • 40% Mobilization Deposit: Payable upon agreement sign-off prior to sprint kickoff and UI/UX wireframing.
  • 30% Interim Milestone Payment: Payable upon delivery of functional staging build / core module completion.
  • 30% Final Settlement: Payable upon UAT sign-off, prior to final production domain deployment and repository transfer.

SaaS Subscription Billing & Renewals

SaaS plans (WiseERP, EduFlow, WiseCRM, WiseHRM) are invoiced in advance on an annual or monthly billing cycle. Subscriptions renew automatically at the end of each billing term unless the Client provides written notice of cancellation at least 15 days prior to the renewal date.

Goods & Services Tax (GST) & Invoicing

All fees quoted are exclusive of statutory taxes. In accordance with the Central Goods and Services Tax Act of India, GST (currently 18%) is levied on all invoices. Tax invoices featuring our valid GSTIN are delivered electronically to allow clients to claim eligible Input Tax Credit (ITC).

Late Payments & Grace Period

Invoices are payable within 7 calendar days of issuance. Invoices remaining unpaid after 14 calendar days may attract late payment interest of 1.5% per month. Continued non-payment after two written reminders may result in temporary suspension of staging servers, active ad campaigns, or SaaS portal access until all arrears are resolved.

Cancellation & Refund Policy

Because our solutions involve specialized engineering time, server infrastructure allocation, and creative intellectual labor, the following cancellation and refund policies apply:

Custom Website & Software Projects

Advance mobilization deposits cover initial discovery, wireframing, architecture planning, and engineer scheduling; they are strictly non-refundable once development sprint kickoff has occurred. Payments for completed and signed-off milestone stages are likewise non-refundable. If a project is halted mid-milestone by the Client, billing is calculated strictly based on accrued engineering hours.

SaaS Subscriptions (WiseERP, EduFlow, WiseCRM, WiseHRM)

Clients may cancel SaaS subscriptions at any time through written notification. Cancellation will take effect at the conclusion of the current prepaid billing term. No prorated or retroactive refunds are provided for partial months or unused subscription duration.

Digital Advertising & Media Spend

All ad spend disbursed directly to third-party ad platforms (Google Ads, Meta Ads) is 100% non-refundable under all circumstances once disbursed. BitBitWise agency management fees are non-refundable once campaign setup, research, or ad monitoring has been initiated.

Cloud Service Level Agreement (SLA), 99.9% Uptime & Backups

We understand that enterprise software and school management portals are mission-critical. BitBitWise maintains robust infrastructure commitments for all cloud-hosted services:

We target 99.9% scheduled uptime for our cloud software solutions. Scheduled routine maintenance windows are conducted during off-peak hours (1:00 AM – 4:00 AM IST) with at least 24 hours advance notification to administrators.

Privacy Policy & Data Protection (DPDP Act 2023 Compliance)

BitBitWise Technologies is committed to upholding the highest standards of data privacy and confidentiality in full compliance with the Information Technology Act, 2000, the Information Technology (Reasonable Security Practices and Procedures and Sensitive Personal Data or Information) Rules, 2011, and the Digital Personal Data Protection (DPDP) Act, 2023 of India.

7.1 Data We Collect

  • Account & Billing Data: Name, professional title, organization name, official email, phone/WhatsApp number, billing address, and GSTIN.
  • Application Tenant Data:Student enrollment records, fee ledgers, and attendance logs (in EduFlow); staff biometric logs and payroll data (in WiseHRM); client inventory, customer records, and invoices (in WiseERP & WiseCRM).
  • Technical & Telemetry Data: IP addresses, browser types, session tokens, audit logs, and diagnostic telemetry required for platform security and debugging.

7.2 Data Fiduciary vs. Data Processor Roles

For all tenant business data entered into our SaaS products (such as student files in EduFlow or employee data in WiseHRM), the Client acts as the Data Fiduciary (Data Controller), maintaining primary legal responsibility for lawful consent collection. BitBitWise Technologies acts exclusively as a Data Processor, processing such data solely in accordance with the Client's explicit operational commands and service requirements.

7.3 Strict No-Sale & No-Lease Pledge

We strictly uphold an uncompromising principle: BitBitWise Technologies never sells, rents, monetizes, trades, or distributes client records, student details, inventory data, or customer contacts to any third-party advertisers, data brokers, or marketing syndicates.

7.4 Bank-Grade Security Measures

All communications and API payloads are encrypted using TLS 1.3 in transit. All stored databases, sensitive credentials, and file backups are encrypted with AES-256 protocols. Multi-tenant software databases employ strict tenant-key isolation to prevent cross-tenant data leaks.

7.5 Data Retention & 30-Day Export Window

Upon termination or non-renewal of an active subscription, the Client is entitled to a 30-day grace window during which they may request an automated export of their tenant data in standard interoperable formats (CSV, Excel, or SQL dump). After 60 days following non-renewal, all tenant data is permanently and securely purged from our active server clusters.

Artificial Intelligence & Third-Party Integrations

Our solutions incorporate cutting-edge artificial intelligence and interconnect with certified enterprise third-party APIs:

WiseAI & Large Language Model (LLM) Data Protection

When integrating custom AI assistants or smart chatbots, BitBitWise utilizes enterprise API endpoints that explicitly prohibit the use of client business data, customer conversations, or internal documentation for training public foundation models. Your proprietary company knowledge base remains isolated and private.

Third-Party Gateway Disclaimers

Certain features depend on third-party service providers (such as Meta WhatsApp Cloud API, payment gateways like Razorpay or Cashfree, telecom SMS gateways, and cloud hosts like AWS/Azure). While BitBitWise selects premier infrastructure partners, we are not liable for intermittent downtime, policy revisions, account freezes, or API deprecations originating directly from external third-party platforms.

Confidentiality & Non-Disclosure

Both BitBitWise and the Client agree to maintain the strict confidentiality of all proprietary business data, trade secrets, software code, financial commercials, and client customer records exchanged during the relationship. Neither party shall disclose Confidential Information to any third party without prior written consent, except where required by a court order or regulatory authority. These non-disclosure obligations survive for a period of three (3) years following the completion or termination of the engagement.

Limitation of Liability & Disclaimers

10.1 Exclusion of Consequential DamagesTo the maximum extent permitted by applicable Indian law, under no circumstances shall BitBitWise Technologies, its founders, directors, engineers, or sub-contractors be liable for any indirect, punitive, special, incidental, or consequential damages whatsoever (including, without limitation, damages for loss of business profits, business interruption, loss of data, loss of business reputation, or commercial loss) arising out of the use or inability to use our software, services, or websites.

10.2 Aggregate Monetary Liability CapThe total aggregate liability of BitBitWise Technologies under any cause of action, whether in contract, tort (including negligence), strict liability, or statutory duty, shall be strictly limited to the actual fees paid by the Client to BitBitWise in the three (3) months immediately preceding the event giving rise to the claim, or the specific commercial value of the disputed project milestone.

Suspension & Termination

Either party may terminate a project agreement or subscription for cause if the other party materially breaches any provision of these Terms and fails to remedy such breach within 14 calendar days of receiving written notice specifying the breach.

BitBitWise reserves the right to immediately suspend service or account access if the Client utilizes our software to transmit spam, conduct unauthorized vulnerability scanning, violate Indian cyber laws, or host unlawful, infringing, or defamatory materials. Upon termination, all outstanding unpaid invoices for completed milestones become immediately due and payable.

Governing Law, Dispute Resolution & Registered Office

These Terms of Service and Privacy Disclosures shall be governed by, construed, and enforced in accordance with the substantive laws of the Republic of India, without giving effect to any principles of conflicts of law.

In the event of any disagreement, controversy, or claim arising out of or relating to this Agreement, the parties shall first make good-faith efforts to resolve the matter through mutual executive consultation within 30 days. Any dispute that cannot be resolved amicably shall be subject to the exclusive jurisdiction of the competent courts located in Dhanbad, Jharkhand, India.
